Corporate “Due Diligence”
Analysis of property, liabilities and company´s results
The content of this part will be acquiring all relevant information about the property components, liabilities and economic result, verification of the significant items and the analysis thereof. A part of the work will consists also of acquiring and, as the case may be ,entry data correction for the financial analysis since we are going to conduct a financial analysis on complete, verified and eventually corrected data reflecting the real situation. The analysis will provide also a picture of the basic risks pertaining to the property and company´s liabilities.
Financial analysis
The work will involve a financial analysis of company statements and an analysis of the chosen indicators. Usual ratio or differential indicators and an analysis of their development in the time line will be used. Upon agreement, we can conduct a pyramidal breakdown of the chosen economic efficiency indicators and to carry out an inter-company or field comparison. A part of this work is also verification of the feasibility of the financial plan entry data which is necessary for the appraisement of a company with the use of the DVF method.
Tax Due Diligence
We will focus on the tax risks related to the work, legal form, the way of financing and the ownership of a company and further on relevant information you may require additionally. The result of the work is the assurance that the tax administrator likely will not asses the tax upon the company in the following periods, or as the case may be, that he will not asses a significantly higher tax or lower tax loss than the one which is already known , or he acquaints the client with the threatening tax avoidances and the possibility to utilize the cumulated tax losses, under the significance viewpoint. The tax advisor will make up a list of tax risks, including the evaluation thereof, and he will propose also the methods how to treat the tax risk.
Legal analysis

The result of the work will consist of the description of basic legal risks and as the case may, an outline of their possible solution.
